TERMS OF USE

These Terms of Use (the “Terms”) govern your access to and use of VAULT.

VAULT is operated by VAULT WORLD INC., a corporation incorporated under the Canada Business Corporations Act (“VAULT WORLD INC.,” “VAULT,” “we,” “us,” or “our”).

By creating an account, accessing VAULT or participating in a VAULT Experience, you agree to these Terms and the other policies and terms incorporated into them.

If you do not agree to these Terms, you must not use VAULT.

1. ABOUT VAULT

VAULT is a technology platform that enables users to discover and participate in real-world, location-based brand experiences, campaigns, activations, challenges, rewards and related experiences (“VAULT Experiences”).

VAULT Experiences may be created, sponsored, supported or operated in collaboration with third-party brands, venues, businesses, organizations or other partners (“Participating Partners”).

Depending on the VAULT Experience, you may be able to:

  • discover experiences in your city;
  • visit physical locations;
  • check in at checkpoints;
  • complete location-based activities;
  • capture photographs;
  • unlock subsequent locations or experiences;
  • complete a VAULT;
  • develop or view photographs captured during the experience;
  • unlock products, access or other rewards; and
  • participate in other campaign-specific activities.

VAULT provides the technology and participation infrastructure supporting these experiences.

Unless expressly stated otherwise, VAULT is not the owner, operator or controller of third-party venues, retail locations, products or services involved in a VAULT Experience.

2. ACCEPTANCE OF TERMS

By creating an account, accessing VAULT or participating in a VAULT Experience, you agree to these Terms.

Certain aspects of VAULT are also governed by:

  • the VAULT Privacy Policy;
  • VAULT Content & Media Rights;
  • VAULT Safety & Participation terms; and
  • campaign-specific rules, disclosures or eligibility requirements where applicable.

Those documents form part of the terms governing your use of the applicable VAULT functionality.

We may require you to accept updated terms when material changes are made.

VAULT may maintain records identifying the version of applicable legal documents presented to you and your acceptance of those documents.

3. ELIGIBILITY AND AGE REQUIREMENTS

VAULT is intended for users aged 14 or older.

Users under 14 may not create or maintain a standard VAULT consumer account.

By creating an account, you represent that the date of birth and age information you provide is accurate.

Users Aged 14 to 17

Users aged 14 to 17 may use eligible VAULT functionality, including:

  • discovering VAULT Experiences;
  • participating in eligible experiences;
  • completing checkpoints;
  • capturing required photographs;
  • using alternative verification methods where available;
  • completing VAULT Experiences;
  • receiving eligible rewards; and
  • retaining their VAULT memories.

Additional protections apply to users aged 14 to 17.

Under VAULT's current content-permission structure, all Participant Content submitted by users aged 14 to 17 is Private to VAULT.

This means their Participant Content:

  • is not made available to Participating Partners through the Brand Portal;
  • cannot become Brand Viewable;
  • cannot become Usage Cleared;
  • cannot be downloaded by participating Brands; and
  • cannot be commercially licensed to participating Brands through standard VAULT functionality.

Users aged 14 to 17 are not offered Share With Brand or Share + Brand Usage as standard content-permission options.

Age restrictions or additional eligibility requirements may apply to particular VAULT Experiences, venues, products or rewards.

4. MEMBERSHIP, APPLICATIONS AND ACCESS

Access to VAULT may be subject to an application, waitlist, invitation, approval or other membership process.

Submitting an application does not guarantee acceptance or access.

VAULT may establish reasonable membership, capacity, geographic or eligibility criteria and may approve, waitlist or decline applications in accordance with applicable law.

An invitation or referral does not guarantee approval.

Access to a particular VAULT Experience may also depend on location, capacity, timing, age, campaign eligibility or other requirements displayed through VAULT.

5. USER ACCOUNTS

You must provide accurate information when creating or maintaining your VAULT account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You must promptly notify VAULT if you believe your account has been accessed without authorization.

You may not:

  • impersonate another person;
  • misrepresent your identity or age;
  • create fraudulent or duplicate accounts for improper purposes;
  • sell or transfer your account;
  • improperly share verification or redemption codes;
  • manipulate VAULT participation;
  • falsify location or checkpoint completion;
  • manipulate rewards or inventory;
  • interfere with the operation or security of VAULT;
  • attempt to access restricted areas of the platform;
  • use automated systems to abuse platform functionality; or
  • otherwise use VAULT fraudulently or unlawfully.

VAULT may restrict, suspend or terminate accounts for fraud, abuse, safety issues, violation of these Terms or misuse of the platform.

6. INVITATIONS AND REFERRALS

VAULT may allow eligible members to invite or refer other people.

Invitations:

  • have no cash value;
  • may not be sold;
  • may not be fraudulently generated or manipulated;
  • do not guarantee the invited person's approval;
  • may be subject to limits or eligibility requirements; and
  • may be modified or discontinued where reasonably necessary.

VAULT may revoke invitations or invitation privileges where it reasonably believes fraud, manipulation or abuse has occurred.

7. VAULT EXPERIENCES

Individual VAULT Experiences may include multiple locations, checkpoints or activities.

A VAULT Experience may:

  • require location verification;
  • require photography or another form of participation verification;
  • provide an alternative verification method where available;
  • require completion of one checkpoint before another becomes available;
  • operate only during specified dates or hours;
  • have limited capacity;
  • include rewards or exclusive access;
  • contain campaign-specific instructions; and
  • be affected by venue availability, inventory, weather, emergencies or other circumstances.

You must follow instructions presented through VAULT and reasonable instructions provided by authorized personnel at participating locations.

Completing one VAULT Experience does not automatically give you access to another.

8. LOCATION SERVICES

Certain VAULT functionality may use approximate or precise device location to:

  • determine proximity to a checkpoint;
  • validate participation;
  • display relevant or nearby experiences;
  • prevent fraudulent check-ins; and
  • enable other location-based functionality.

Location permissions remain subject to your device settings.

Location technology, GPS signals and device measurements may not always be exact or available.

You must not falsify, spoof or manipulate your location in order to complete a checkpoint, obtain a reward or otherwise circumvent participation requirements.

VAULT location information is not a navigation or safety service.

Never rely on VAULT's location information as a substitute for signage, official directions, venue instructions or awareness of your physical surroundings.

9. PHOTOS AND PARTICIPANT CONTENT

VAULT Experiences may allow or require you to capture or submit photographs or other content (“Participant Content”).

Where an alternative verification method is offered, you may use that method according to the applicable instructions.

You retain ownership of original Participant Content you create.

Uploading, capturing or submitting Participant Content through VAULT does not automatically transfer ownership of that content to VAULT or a participating Brand.

For eligible adult users, Participant Content may be subject to one of VAULT's content-permission states:

  • Private to VAULT;
  • Share With Brand; or
  • Share + Brand Usage.

For users aged 14 to 17, Participant Content is Private to VAULT under VAULT's current permission structure.

Any commercial permission granted through VAULT is a licence and not a sale or assignment of ownership.

The complete content-rights framework, including Brand Viewable and Usage Cleared content, permitted Brand uses, usage periods, permission changes and AI restrictions, is described in VAULT Content & Media Rights.

10. LICENCE TO OPERATE THE SERVICE

You grant VAULT WORLD INC. a limited, non-exclusive licence to host, store, reproduce, process, format and display Participant Content to the extent reasonably necessary to:

  • operate VAULT;
  • store and display your VAULT memories;
  • administer checkpoints and participation;
  • apply your selected content permissions;
  • make authorized content available to participating Brands where permitted;
  • maintain security and integrity;
  • provide support;
  • comply with law; and
  • exercise the rights expressly described in VAULT Content & Media Rights.

This operational licence does not give VAULT unrestricted ownership of your Participant Content.

Any commercial Brand usage rights are governed separately by the content permission applicable to the asset.

11. CONTENT STANDARDS

You must not knowingly upload or submit Participant Content that:

  • violates applicable law;
  • infringes intellectual property rights;
  • unlawfully violates another person's privacy or publicity rights;
  • is threatening, abusive or harassing;
  • depicts or facilitates illegal activity;
  • contains malware or malicious material;
  • depicts sexual exploitation or abuse;
  • intentionally exposes another person's sensitive personal information without authorization;
  • is fraudulent or materially deceptive; or
  • otherwise violates applicable VAULT policies.

VAULT may remove, restrict or disable access to Participant Content where reasonably necessary for safety, legal compliance, rights management or platform integrity.

12. OTHER PEOPLE IN YOUR CONTENT

You should consider the privacy and rights of other identifiable people appearing in Participant Content you submit.

You should not intentionally submit content prominently featuring another person in circumstances where you do not have an appropriate basis to do so.

Your permission concerning your own Participant Content and likeness does not automatically grant commercial rights in another identifiable person's image, likeness, privacy or publicity rights.

Usage Cleared status therefore does not necessarily mean that every third-party right appearing within an image has been cleared.

13. REWARDS

VAULT Experiences may offer rewards such as:

  • products;
  • discounts;
  • exclusive access;
  • priority entry;
  • digital rewards;
  • event access;
  • limited items;
  • promotional benefits; or
  • other campaign-specific rewards.

Rewards may:

  • have limited quantities;
  • be available while supplies last;
  • expire;
  • be subject to eligibility requirements;
  • require in-person redemption;
  • require verification or a redemption code;
  • be subject to Participating Partner or venue rules;
  • vary between participants; and
  • become unavailable because of circumstances outside VAULT's reasonable control.

Unless expressly stated otherwise, completing a VAULT Experience does not guarantee a particular reward.

Where a reward is randomly assigned, you will receive the reward assigned through the applicable system and may not reroll, exchange or manipulate the assignment unless expressly permitted.

Rewards have no cash value unless expressly stated otherwise.

VAULT may cancel, invalidate or refuse a redemption where it reasonably determines that fraud, manipulation, duplication or other misuse has occurred.

14. BRAND-PROVIDED PRODUCTS, SERVICES AND REWARDS

Some rewards, products, services or experiences available through VAULT are supplied by Participating Partners rather than VAULT WORLD INC.

The applicable Participating Partner remains responsible for Brand-provided products and services, including applicable product quality, safety, fulfillment, warranty and consumer-protection obligations.

VAULT may provide the technology through which a reward is assigned, revealed, tracked or redeemed without becoming the manufacturer or supplier of the underlying product or service.

Nothing in these Terms limits rights you may have directly against a supplier or other party under applicable consumer protection law.

15. CONTESTS AND PROMOTIONS

Certain VAULT Experiences may include contests, prize promotions, random draws or other promotional activities.

Additional official rules, eligibility requirements or disclosures may apply.

Where campaign-specific promotion rules conflict with these general Terms regarding administration of that promotion, the campaign-specific rules will govern the applicable promotion.

16. THIRD-PARTY LOCATIONS AND PARTNERS

VAULT may direct you to third-party businesses, venues, public locations or other Participating Partners.

Unless expressly stated otherwise, those parties operate independently from VAULT WORLD INC.

Your participation may be subject to:

  • venue operating hours;
  • capacity restrictions;
  • entry requirements;
  • accessibility limitations;
  • age requirements;
  • staff instructions;
  • venue policies;
  • closures; and
  • other third-party conditions.

VAULT does not control every condition at third-party premises.

If a participating location is closed, inaccessible, unsafe or unavailable, do not attempt to enter or complete the checkpoint improperly.

17. USER SAFETY

Participation in VAULT Experiences is voluntary.

You are responsible for exercising reasonable judgment while participating.

You must:

  • remain aware of your surroundings;
  • obey applicable laws;
  • obey traffic signals;
  • follow posted signs;
  • follow venue and authorized staff instructions;
  • remain in areas lawfully accessible to you;
  • respect private property; and
  • stop participating if circumstances appear unsafe.

You must never:

  • use VAULT while driving;
  • cross a street or enter traffic while looking at your device;
  • trespass;
  • enter restricted or closed areas;
  • climb, jump or otherwise take unreasonable physical risks to complete a checkpoint;
  • ignore safety instructions;
  • participate in unlawful activity; or
  • put yourself or another person at risk merely to complete a VAULT Experience.

A VAULT Experience is never worth putting yourself or anyone else at risk.

If a checkpoint cannot be completed safely, use an available alternative verification method or contact VAULT support.

18. EMERGENCIES

VAULT is not an emergency service.

Do not use VAULT to request emergency medical, police, fire or other emergency assistance.

If you encounter an emergency or immediate danger while participating in a VAULT Experience, stop participating and contact the appropriate local emergency service.

19. ACCESSIBILITY AND ALTERNATIVE VERIFICATION

VAULT aims to make participation reasonably accessible where possible.

Certain physical locations or third-party venues may have accessibility limitations outside VAULT's direct control.

Where an alternative checkpoint-verification method is made available, eligible participants may use it according to the applicable instructions.

You may contact VAULT if you encounter a participation barrier or need information regarding available alternatives.

Alternative verification may still require reasonable measures to confirm legitimate participation and prevent fraud.

20. VAULT PLATFORM AND PROPRIETARY MATERIALS

VAULT WORLD INC. owns or licenses the technology and materials comprising the VAULT platform, including its:

  • software;
  • interfaces;
  • designs;
  • visual identity;
  • original graphics;
  • platform content;
  • proprietary experience mechanics;
  • workflows;
  • documentation; and
  • other original VAULT materials.

Participating Brands and other third parties retain ownership of their own names, logos, materials and other intellectual property.

These Terms do not transfer ownership of VAULT materials or third-party intellectual property to you.

You may not copy, reproduce, reverse engineer, resell, commercially exploit or create derivative products from the VAULT platform except where expressly permitted by VAULT or applicable law.

21. ACCEPTABLE USE

You must not:

  • interfere with VAULT's operation or security;
  • probe or test platform vulnerabilities without authorization;
  • bypass access controls;
  • scrape or systematically extract information;
  • use bots or automated systems to abuse platform functionality;
  • introduce malicious code;
  • manipulate campaign analytics;
  • exploit bugs to obtain unauthorized access or rewards;
  • attempt to access another user's account;
  • circumvent age, content or permission restrictions; or
  • use VAULT for unlawful, fraudulent or abusive purposes.

If you discover a potential security vulnerability, you should report it to VAULT rather than exploit it.

22. PLATFORM AVAILABILITY

VAULT will use reasonable efforts to operate the platform reliably but does not guarantee uninterrupted or error-free availability.

Features or VAULT Experiences may be affected by:

  • maintenance;
  • technical issues;
  • internet or cellular connectivity;
  • GPS limitations;
  • device compatibility;
  • third-party services;
  • venue closures;
  • inventory limitations;
  • weather;
  • emergencies;
  • governmental restrictions; or
  • other circumstances outside VAULT's reasonable control.

VAULT may modify, pause, cancel, relocate or reschedule a VAULT Experience where reasonably necessary.

Where practicable, VAULT may notify affected participants of material changes through the app or other available communication methods.

23. SERVICE CHANGES

VAULT may modify, improve, add or remove platform functionality as the service evolves.

We may discontinue a feature where reasonably necessary for operational, legal, security or business reasons.

Where a change materially affects an existing legal right or permission, we will address that change in accordance with applicable law and the relevant VAULT terms.

24. DISCLAIMER

To the maximum extent permitted by applicable law, VAULT and the VAULT platform are provided on an “as is” and “as available” basis.

VAULT does not guarantee:

  • uninterrupted platform availability;
  • that every VAULT Experience will remain available;
  • that every checkpoint can always be completed;
  • that location technology will always be accurate;
  • that a particular reward will remain available;
  • that every third-party venue will operate as expected; or
  • any particular outcome from participating in a VAULT Experience.

Nothing in these Terms excludes warranties, guarantees or other rights that cannot lawfully be excluded under applicable consumer protection law.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, VAULT WORLD INC. and its directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising out of or relating to your use of VAULT.

VAULT is not responsible for losses arising solely from:

  • conduct of independent third-party venues or Participating Partners;
  • third-party products or services;
  • reward unavailability outside VAULT's reasonable control;
  • inaccurate device or GPS information outside VAULT's reasonable control;
  • your failure to follow safety instructions;
  • unauthorized or unlawful use of VAULT by you; or
  • events outside VAULT's reasonable control,

except to the extent liability is imposed on VAULT by applicable law.

To the maximum extent permitted by applicable law, VAULT WORLD INC.'s aggregate monetary liability arising out of or relating to your use of VAULT will not exceed the greater of:

  • amounts you paid directly to VAULT WORLD INC. for the specific service giving rise to the claim during the twelve months preceding the event giving rise to the claim; or
  • CAD $100.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where liability cannot legally be limited, or any other matter for which exclusion or limitation is prohibited by applicable law.

26. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless VAULT WORLD INC. and its directors, officers, employees and representatives from third-party claims, losses, liabilities, damages and reasonable legal costs arising directly from:

  • your fraudulent or unlawful use of VAULT;
  • Participant Content you submit that infringes another person's rights;
  • your material violation of these Terms;
  • your intentional misuse of rewards, verification or platform systems; or
  • your wilful misconduct in connection with a VAULT Experience.

This indemnification does not require you to indemnify VAULT for losses caused by VAULT's own negligence, misconduct or breach of these Terms and applies only to the extent permitted by applicable law.

VAULT will provide reasonable notice of an indemnified third-party claim and reasonable cooperation in its defence.

27. PRIVACY

VAULT's collection, use, disclosure and protection of personal information are described in the VAULT Privacy Policy.

Your use of VAULT is subject to that policy and any privacy choices or permissions available through the platform.

28. ACCOUNT SUSPENSION AND TERMINATION

You may stop using VAULT at any time and may request account deletion through available account functionality or the process described in the VAULT Privacy Policy.

VAULT may restrict, suspend or terminate an account where reasonably necessary because of:

  • material violation of these Terms;
  • fraud or suspected fraud;
  • reward manipulation;
  • safety concerns;
  • unlawful activity;
  • harassment or abuse;
  • unauthorized platform access;
  • repeated or serious misuse; or
  • legal or regulatory requirements.

Where appropriate and reasonably practicable, VAULT may provide notice or an opportunity to address a remediable violation before permanent termination.

VAULT may act immediately where necessary to protect users, security, legal compliance or platform integrity.

29. EFFECT OF ACCOUNT DELETION OR TERMINATION

Ending your VAULT account does not automatically erase every record associated with prior use.

VAULT may retain limited information where reasonably necessary to:

  • comply with law;
  • maintain legal acceptance records;
  • preserve Participant Content permission history;
  • administer previously granted content licences;
  • prevent fraud or abuse;
  • investigate security incidents;
  • resolve disputes; or
  • establish, exercise or defend legal rights.

Personal information retained after account deletion remains subject to the VAULT Privacy Policy.

Previously granted content rights are governed by VAULT Content & Media Rights.

30. CHANGES TO THESE TERMS

VAULT may update these Terms as the platform evolves, our practices change or legal requirements develop.

When these Terms are updated, we will update the effective date.

Where a change materially affects your rights or obligations, VAULT may provide additional notice or require renewed acceptance.

Historical versions and acceptance records may be retained for legal, compliance and audit purposes.

31. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to rights you may have under applicable consumer protection law, disputes arising out of or relating to these Terms or VAULT are subject to the jurisdiction of the courts located in Ontario, Canada.

Nothing in these Terms prevents you from exercising rights or remedies available to you under mandatory consumer protection, privacy or other applicable law.

32. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect.

33. NO WAIVER

If VAULT does not immediately enforce a provision of these Terms, that does not waive VAULT's right to enforce it later.

A waiver applies only where expressly provided and only to the circumstances for which it is given.

34. ASSIGNMENT

You may not transfer your VAULT account or assign your rights under these Terms to another person without VAULT's consent.

VAULT WORLD INC. may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets or transfer of the VAULT business, subject to applicable law.

35. ENTIRE AGREEMENT

These Terms, together with the VAULT Privacy Policy, VAULT Content & Media Rights, VAULT Safety & Participation terms and any applicable campaign-specific terms, form the agreement governing your use of VAULT.

Campaign-specific terms apply only to the relevant VAULT Experience.

If campaign-specific terms conflict with these Terms, the campaign-specific terms will control with respect to the specific campaign matter they address.

36. ELECTRONIC COMMUNICATIONS

You agree that VAULT may provide agreements, disclosures, notices and other communications electronically where permitted by law.

Electronic acceptance through VAULT has the same effect as acceptance in writing to the extent permitted by applicable law.
