YOUR PHOTOS ARE YOURS.
VAULT is designed so you can understand what happens to the photographs and other content you create through a VAULT Experience.
You retain ownership of your original content.
Submitting or capturing content through VAULT does not automatically give a participating Brand the right to use it in advertising or marketing.
Your content permission determines whether the applicable Brand can see your content and whether it can use that content outside VAULT.
These Content & Media Rights terms (the “Content Terms”) are provided by VAULT WORLD INC., a corporation incorporated under the Canada Business Corporations Act (“VAULT WORLD INC.,” “VAULT,” “we,” “us,” or “our”).
These Content Terms apply together with the VAULT Terms of Use and VAULT Privacy Policy.
1. PARTICIPANT CONTENT
For purposes of these Content Terms, “Participant Content” means photographs and other content you capture, submit or otherwise provide through a VAULT Experience.
You retain ownership of the original Participant Content you create.
VAULT's permission system determines what VAULT and the participating Brand may do with eligible Participant Content.
For eligible adult users, the available content permissions are:
- Private to VAULT
- Share With Brand
- Share + Brand Usage
Users aged 14 to 17 are subject to the additional protections described below.
2. YOUR CONTENT PERMISSION
Your content permission determines how eligible Participant Content may be handled.
Choosing a content permission does not transfer ownership of your Participant Content.
Where you grant commercial usage permission, you grant a limited, non-exclusive licence as described below.
You remain free to use, publish and share your own Participant Content elsewhere.
3. PRIVATE TO VAULT
If your permission is Private to VAULT:
- your Participant Content may be stored and processed by VAULT as necessary to provide the VAULT experience;
- your Participant Content is not displayed to participating Brands through the Brand Portal;
- participating Brands cannot download your Participant Content;
- participating Brands do not receive a commercial licence to your Participant Content; and
- your private Participant Content may still contribute to appropriately aggregated or de-identified campaign metrics where permitted by applicable law.
Private to VAULT means private from participating Brands through the Brand Portal. It does not prevent VAULT from processing the content where reasonably necessary to operate your account, provide your VAULT memories, maintain platform security, provide support, comply with law or otherwise perform the functions described in the VAULT Privacy Policy.
4. SHARE WITH BRAND
If you are an eligible adult user and select Share With Brand, eligible Participant Content may become Brand Viewable.
This means the applicable participating Brand may view the content inside the authorized VAULT Brand Portal for legitimate campaign and internal review purposes.
The Brand may use that view to understand campaign participation and engagement.
Share With Brand does not give the Brand external or commercial publication rights.
Under Share With Brand, the Brand may not:
- download the original asset;
- export the asset;
- copy or screen-capture the asset to circumvent VAULT's restrictions;
- publish the content on organic social media;
- use the content in paid advertising;
- publish the content on a Brand website or e-commerce platform;
- use the content in email marketing;
- distribute the content through PR or editorial channels; or
- otherwise publicly or commercially publish the content.
Share With Brand gives the participating Brand visibility, not a commercial content licence.
5. SHARE + BRAND USAGE
If you are aged 18 or older and select Share + Brand Usage, eligible Participant Content may become Usage Cleared.
Usage Cleared content may be:
- displayed to the applicable participating Brand through the Brand Portal;
- downloaded by Authorized Users of that Brand; and
- used by the Brand under the limited licence described in these Content Terms.
Unless otherwise stated for a particular VAULT Experience or asset, permitted Brand uses include:
- campaign marketing;
- Brand-owned organic social media;
- paid digital and social advertising;
- Brand websites and e-commerce;
- Brand email marketing;
- public relations and editorial communications; and
- substantially similar Brand-owned or Brand-authorized marketing relating to the Brand, its products, services or the applicable campaign.
Share + Brand Usage does not transfer ownership of your Participant Content to the Brand.
6. THE BRAND LICENCE
When eligible Participant Content becomes Usage Cleared, you grant the applicable participating Brand a:
non-exclusive, worldwide, royalty-free, limited licence
to reproduce, display, publish, distribute and technically adapt that Participant Content for the permitted uses described in these Content Terms.
This licence is not:
- an assignment of copyright;
- a sale of your content;
- an exclusive licence;
- an unrestricted transfer of your image or likeness rights; or
- permission for the Brand to use your content for any purpose it chooses.
You remain the owner of your original Participant Content.
The Brand does not receive exclusivity merely because you captured or submitted the content through VAULT.
7. NO ADDITIONAL PAYMENT FOR STANDARD USAGE CLEARED CONTENT
Unless a particular VAULT Experience expressly states otherwise, the Share + Brand Usage permission does not entitle you to additional royalties, residuals or licence fees if the applicable Brand uses Usage Cleared content within the rights you granted.
Any reward, product, access or other benefit associated with participating in a VAULT Experience is separate from ownership of your Participant Content and does not transfer ownership of that content.
If VAULT or a Brand wants rights materially beyond the standard licence described in these Content Terms, those additional rights require a separate permission or agreement where applicable.
8. USAGE PERIOD
Unless a different usage period is expressly disclosed for a particular asset or VAULT Experience, the standard Usage Cleared licence lasts for 12 months.
The 12-month period begins on the date the participating Brand first uses the applicable asset externally or commercially.
The Brand must begin its first external use of a downloaded Usage Cleared asset within six months after downloading it.
If the Brand has not used the asset externally within that six-month period, the standard licence expires unless renewed or otherwise authorized.
Downloading the asset again, having another Brand employee access it, internally reviewing it or transferring it to an authorized service provider does not restart or extend the licence period.
9. WHAT HAPPENS WHEN THE USAGE PERIOD ENDS
When the applicable usage period expires, the Brand must stop initiating new uses of the asset.
For example, the Brand may not:
- launch new advertisements using the asset;
- begin new paid-media placements using the asset;
- create new social posts using the asset;
- add the asset to new webpages;
- include the asset in new email campaigns; or
- materially repurpose the asset for a new campaign.
Paid advertising containing the asset must be discontinued by the end of the applicable usage period.
However, the Brand is not generally required to remove historical material that was lawfully published while the licence was active.
For example, expiration does not automatically require removal of:
- historical organic social posts;
- previously distributed PR or editorial materials;
- emails that were already sent;
- printed materials already distributed; or
- other completed publications lawfully made during the licence period.
The Brand may retain archival copies where reasonably necessary for legal, compliance, recordkeeping or internal historical purposes, but archival retention does not permit new public or commercial use.
10. USAGE TERRITORY
Unless otherwise disclosed for a particular asset or VAULT Experience, the standard Usage Cleared licence is worldwide.
This reflects the fact that websites, social media, digital advertising, e-commerce, PR and other Brand channels may be accessible internationally.
Worldwide territory does not expand the duration or categories of use permitted under these Content Terms.
11. ATTRIBUTION
A participating Brand is not required to credit or tag you when using Usage Cleared content unless a particular campaign or separate agreement expressly states otherwise.
A Brand may choose to credit or tag you where appropriate and where it lawfully has sufficient information to do so.
VAULT is not required to provide your social media username, contact information or other unnecessary personal information to a Brand solely so that the Brand can provide attribution.
A Brand may not falsely attribute your Participant Content to someone else.
12. PERMITTED TECHNICAL FORMATTING
Usage Cleared content may be adapted as reasonably necessary for permitted marketing channels.
Permitted changes may include:
- resizing;
- cropping;
- reframing for aspect ratio;
- compression;
- file-format conversion;
- reasonable colour, brightness or exposure correction;
- campaign framing;
- Brand graphics or identity elements;
- captions or accompanying text; and
- adaptation to different authorized media dimensions.
These permissions are intended to allow normal marketing production.
They do not permit a Brand to materially misrepresent you or what occurred in the original content.
13. WHAT BRANDS MAY NOT CHANGE
Standard Share + Brand Usage permission does not allow a Brand to materially alter:
- your face;
- your body;
- your physical appearance;
- your actions;
- your expression;
- your voice; or
- the factual meaning or context of the content
in a deceptive or materially misleading manner.
A Brand may not manipulate Participant Content so that it falsely represents that you:
- did something you did not do;
- said something you did not say;
- attended something you did not attend;
- experienced something you did not experience;
- used something you did not use;
- made a claim you did not make; or
- endorsed something you did not endorse.
14. AI, DIGITAL REPLICAS AND SYNTHETIC LIKENESS
Share + Brand Usage does not give a Brand permission to create an AI version of you.
Standard Usage Cleared permission does not authorize:
- generative AI model training using your Participant Content;
- facial, biometric or likeness model training;
- voice model training or voice cloning;
- creation of a digital replica of you;
- synthetic recreation of you;
- materially AI-generated alteration of your face or body;
- deepfakes;
- fabricated speech;
- fabricated actions;
- fabricated endorsements; or
- generation of new advertising creative depicting you doing something that did not actually occur.
A Brand also may not use your Participant Content to build a dataset intended to reproduce or simulate your identity, face, voice or likeness.
Ordinary technical tools used only for permitted formatting, resizing, compression, colour correction, background cleanup or similar production functions are not considered synthetic likeness creation where they do not materially generate, replace or alter your identity, appearance, actions or the meaning of the content.
Any materially different AI, digital replica, biometric or synthetic likeness use requires separate, explicit permission and is not included in standard Share + Brand Usage.
15. YOUR LIKENESS
Where your face, image or likeness appears in Usage Cleared Participant Content, the licence includes the limited permission reasonably necessary for the applicable Brand to display your likeness as it appears in that content for the permitted uses and licence period.
This does not give the Brand ownership of your likeness or a general right to use your identity outside the applicable Participant Content.
The Brand may not use the licence to manufacture a broader endorsement, testimonial, persona or relationship with you that was not actually granted.
16. OTHER PEOPLE IN YOUR PHOTOS
Your permission applies only to rights that you are legally able to grant.
If another identifiable person appears in Participant Content, your Share + Brand Usage permission does not automatically grant the Brand all rights necessary to commercially use that other person's likeness.
Participating Brands are required to review Usage Cleared content before external or commercial publication and determine whether additional releases or permissions are required.
You should not intentionally submit Participant Content prominently featuring another person where you do not have an appropriate basis to do so.
17. OTHER THIRD-PARTY RIGHTS
Usage Cleared means that you granted the applicable VAULT permission.
It does not mean that VAULT guarantees every other right visible or audible in an asset has independently been cleared.
Participant Content may contain third-party:
- trademarks;
- logos;
- artwork;
- photographs;
- copyrighted works;
- music;
- architecture;
- private property;
- venue interiors;
- signage;
- products; or
- other protected material.
The participating Brand is responsible for determining whether its intended commercial use requires additional clearances, licences, releases or approvals.
18. USERS AGED 14 TO 17
Under VAULT's current permission structure, Participant Content submitted by users aged 14 to 17 is automatically Private to VAULT.
Users aged 14 to 17 are not offered Share With Brand or Share + Brand Usage through the standard permission system.
Their Participant Content:
- is not displayed to participating Brands through the Brand Portal;
- cannot become Brand Viewable;
- cannot become Usage Cleared;
- cannot be downloaded by participating Brands; and
- cannot be commercially licensed to participating Brands through standard VAULT functionality.
If VAULT introduces a separate guardian-consent or minor-content licensing process in the future, it will be subject to its own applicable permissions, disclosures and legal requirements.
19. CAMPAIGN CONTENT METRICS
VAULT may use campaign-level content metrics to help measure participation and campaign performance.
The primary content metrics may include:
Moments Captured
Moments Captured represents the aggregate number of eligible participant content moments or captures generated through a VAULT Experience.
A Moments Captured count does not mean that the participating Brand can view, download or use every underlying asset.
Private Participant Content may contribute to appropriately aggregated or de-identified campaign metrics without the underlying private asset being disclosed to the Brand.
Brand Viewable
Brand Viewable represents Participant Content that the applicable Brand is permitted to view through the Brand Portal.
Brand Viewable describes access.
It does not by itself provide commercial publication rights.
Usage Cleared
Usage Cleared represents eligible Participant Content for which an adult participant selected Share + Brand Usage and which may therefore be downloaded and used by the applicable Brand subject to these Content Terms.
Usage Cleared describes the participant permission associated with the asset. It does not represent that VAULT has independently cleared every third-party right that may appear in the asset.
20. CHANGING YOUR CONTENT PERMISSION
Eligible adult users may change their current content permission through VAULT where that functionality is available.
Changing your permission affects how VAULT handles your content going forward.
If you change from a more permissive setting to a more restrictive setting:
- newly submitted content will follow your new permission;
- content not yet licensed or downloaded by a Brand may have future Brand access restricted;
- Brand Viewable content may be removed from Brand access; and
- VAULT will stop granting new Usage Cleared rights under your previous permission.
Changing your permission does not erase the historical fact that you previously granted a particular permission.
VAULT may retain records showing what permission was selected, when it applied, which legal terms applied and the permission associated with an asset at the relevant time.
21. WHAT HAPPENS TO A LICENCE ALREADY GRANTED
If a Brand already obtained a valid Usage Cleared licence while your Share + Brand Usage permission was in effect, changing your permission does not automatically make that previously granted licence retroactively invalid.
The Brand may continue exercising a valid licence already granted for the remainder of its applicable licence period, to the extent permitted by applicable law.
After you change away from Share + Brand Usage, the Brand may not obtain a new Usage Cleared licence to affected content through your previous permission.
If applicable law gives you additional rights to withdraw consent, object to processing, request deletion or restrict a particular use, those legal rights are not limited by these Content Terms.
Where VAULT determines that continued Brand use must cease because of a legal requirement, invalid permission or other binding rights issue, VAULT may instruct the Brand to discontinue the affected use.
22. DELETING YOUR ACCOUNT OR CONTENT
Deleting your VAULT account or requesting deletion of Participant Content does not necessarily invalidate a Usage Cleared licence that was validly granted before the deletion request.
Previously granted licences may continue for their remaining term to the extent permitted by applicable law.
VAULT may also retain limited copies or records where reasonably necessary to:
- document your permissions;
- maintain legal acceptance records;
- establish what rights existed at a particular time;
- comply with law;
- resolve disputes;
- prevent fraud or abuse; or
- establish, exercise or defend legal rights.
Deletion and privacy requests are also governed by the VAULT Privacy Policy.
23. BRAND RESPONSIBILITIES
Brands receiving Participant Content through VAULT are contractually required to respect the rights status associated with that content.
Among other things, participating Brands are required to:
- use only Usage Cleared content externally;
- keep Brand Viewable content within the authorized Brand Portal;
- not download or extract Brand Viewable content;
- comply with the applicable usage period;
- comply with permitted-use categories;
- respect editing restrictions;
- comply with AI and synthetic-likeness restrictions;
- determine whether additional third-party clearances are required;
- protect downloaded assets;
- appropriately restrict agencies and service providers; and
- comply with applicable law.
Access to an asset does not itself grant unrestricted ownership or usage rights.
The Brand's obligations are further described in the VAULT Brand Content Usage Terms.
24. AGENCIES AND SERVICE PROVIDERS
A participating Brand may provide Usage Cleared content to an advertising agency, media agency, production partner or other service provider only where reasonably necessary to carry out a permitted Brand use.
Those parties do not receive an independent licence to your content.
They may use the content only on behalf of the applicable Brand and within the scope and duration of that Brand's rights.
The Brand remains responsible for ensuring its service providers comply with applicable content restrictions.
25. NO SALE OR UNRELATED LICENSING
Standard Share + Brand Usage permission does not allow a participating Brand to sell your Participant Content or license it to unrelated third parties for their independent commercial use.
For example, the Brand may not use the standard VAULT licence to:
- sell your content to a stock-image service;
- place your content in an unrelated commercial image library;
- license your content to another company for that company's independent advertising;
- create a dataset of participant imagery for resale; or
- independently monetize your content outside the permitted Brand uses.
Providing content to an authorized agency solely to execute the Brand's permitted marketing use is not considered an unrelated sale or licence.
26. NO IMPLIED ENDORSEMENT
Participating in a VAULT Experience, accepting a reward or capturing Participant Content does not automatically mean that you personally endorse the participating Brand or its products.
Usage Cleared content may be used in the permitted Brand marketing categories, but the Brand may not materially misrepresent the content as a statement, testimonial, claim or endorsement you did not actually make.
27. VAULT'S OPERATIONAL RIGHTS
Regardless of your Brand-sharing permission, VAULT may process Participant Content to the extent reasonably necessary to operate the service.
This may include:
- receiving and storing the content;
- associating it with your account or VAULT Experience;
- enabling the disposable-camera-style capture and development experience;
- displaying your content back to you;
- applying your permission settings;
- maintaining asset-level rights records;
- protecting platform security;
- investigating misuse;
- providing support;
- maintaining backups subject to VAULT's retention practices; and
- complying with applicable law.
These operational rights do not give participating Brands access to Private-to-VAULT content.
VAULT's handling of personal information associated with Participant Content is further described in the VAULT Privacy Policy.
28. RIGHTS RECORDS
VAULT may maintain records relating to:
- the permission you selected;
- changes to your permission;
- the date and time of permission events;
- the version of these Content Terms associated with your permission;
- asset-level rights status;
- Brand access where applicable;
- Usage Cleared downloads where applicable; and
- other information reasonably necessary to administer and demonstrate content rights.
Changing your current permission does not require VAULT to erase an accurate historical record showing what permission existed previously.
29. MISUSE BY A BRAND
If you believe a participating Brand is using your Participant Content outside the rights you granted through VAULT, you may contact us.
VAULT may review relevant rights, access and download records and may take appropriate action under its agreements with participating Brands.
Depending on the circumstances, this may include restricting Brand access, requiring cessation of unauthorized use, suspending Brand Platform privileges or exercising other contractual or legal remedies.
Nothing in this section limits rights or remedies you may independently have under applicable law.
30. CHANGES TO THESE CONTENT TERMS
VAULT may update these Content Terms as the platform evolves, content functionality changes or legal requirements develop.
When these Content Terms are updated, we will update the effective date.
Where a change materially affects your content rights or permissions, VAULT may provide additional notice or require renewed acceptance or permission where appropriate or legally required.
Historical versions and permission records may be retained so that the terms applicable to a prior permission can be identified.
31. RELATIONSHIP TO OTHER VAULT TERMS
These Content Terms apply together with the:
- VAULT Terms of Use;
- VAULT Privacy Policy; and
- applicable campaign-specific terms.
The VAULT Privacy Policy explains how personal information associated with Participant Content is collected, used, disclosed and retained.
The VAULT Terms of Use govern your broader use of the platform.
These Content Terms specifically govern ownership, Brand access and commercial usage permissions relating to Participant Content.
32. GOVERNING LAW
These Content Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Subject to rights you may have under applicable consumer protection, privacy or other mandatory law, disputes arising out of or relating to these Content Terms are subject to the jurisdiction of the courts located in Ontario, Canada.
